Sinclair Prices Private Offering of Senior Unsecured Notes

BALTIMORE, Aug. 15, 2016 — Sinclair Broadcast Group, Inc. (“Sinclair” or the “Company”) (Nasdaq: SBGI) announced today that its wholly-owned subsidiary, Sinclair Television Group, Inc. (“STG”), has priced its previously announced private offering of senior unsecured notes due 2027 (the “Notes”). The aggregate principal amount of Notes in the offering was upsized from $350 million to $400 million. The Notes were priced at 100% of their par value and will bear interest at a rate of 5.125% per annum payable semi-annually on February 15 and August 15, commencing February 15, 2017. This private placement of Notes is conditioned on customary closing conditions and is expected to close on August 30, 2016.
The net proceeds from the private placement of Notes will be used to redeem STG’s $350.0 million aggregate principal amount 6.375% senior unsecured notes due 2021 (the “6.375% Notes”) at par plus a make-whole call premium of approximately $19.9 million, and for general corporate purposes.
